WaveCast reserves the right to modify, suspend, or discontinue the Services, or any part thereof, at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
The content available on WaveCast, including but not limited to podcasts, audio files, text, graphics, logos, and software (collectively, the "Content"), is owned by WaveCast or its licensors and is protected by copyright, trademark, and other intellectual property laws. You acknowledge that WaveCast and its licensors retain all right, title, and interest in and to the Content.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content without the prior written consent of WaveCast or the respective copyright owner, except as expressly permitted by these Terms.
If you submit any content to WaveCast, including but not limited to podcast episodes, comments, or feedback, you grant WaveCast a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, distribute, modify, adapt, publicly display, publicly perform, and create derivative works of your content in connection with the Services. You represent and warrant that you have all the rights necessary to grant this license.
We respect the intellectual property rights of others. If you believe that your copyrighted work has been infringed on WaveCast, please contact our designated copyright agent at [email protected] and provide the necessary information for us to investigate and address the issue promptly. The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. WaveCast does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.
WaveCast is not responsible for any content posted by users of the Services. We do not endorse or guarantee the accuracy, completeness, or reliability of any user-generated content. You acknowledge that you may be exposed to content that is offensive, indecent, or objectionable.
To the fullest extent permitted by law, WaveCast shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties; or (c) unauthorized access, use, or alteration of your transmissions or content.
Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid to WaveCast, if any, for access to or use of the Services during the twelve (12) months preceding the claim.
This liability disclaimer applies even if WaveCast has been advised of the possibility of such damages.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of such courts.
Any dispute arising under these Terms shall be first attempted to be resolved through good faith negotiation. If the dispute is not resolved through negotiation within thirty (30) days, either party may initiate legal proceedings.
These Terms constitute the entire agreement between you and WaveCast relating to the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and WaveCast with respect to the Services.
WaveCast's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms shall remain in full force and effect.
We may revise these Terms from time to time. The most current version of the Terms will be posted on the WaveCast website. Your continued use of the Services after the posting of revised Terms constitutes your acceptance of the revised Terms. It is your responsibility to periodically review these Terms for any changes.
